Festive Planet Inc. – Vendor Portal

1. About Festive Planet 

This Vendor Portal is operated by Festive Planet Inc. ("Festive Planet," "we," "our," or "us"), an event production company organizing food festivals, cultural festivals, and related events across the United States. 

This portal is used for vendor applications, booth purchases, sponsorship purchases, and related services. 

2. Application & Approval 

Submission of an application or payment does not guarantee acceptance into any event. 

Festive Planet reserves the right, at its sole discretion, to: 

  • approve or reject any vendor application; 

  • limit vendor categories; 

  • adjust vendor placement; 

  • request additional documentation, including but not limited to licenses, insurance, permits, and health approvals; and 

  • remove vendors that do not meet event standards or requirements. 

Vendor categories may be curated to maintain event quality, variety, and balance. 

3. Booth Purchase & Payment Terms 

All booth purchases and fees: 

  • must be paid in full to secure a space; 

  • are subject to availability; and 

  • are confirmed only after payment is successfully processed. 

Pricing may vary depending on location, section, event, or timing. Festive Planet reserves the right to adjust pricing at any time prior to confirmed payment. 

  

4. Cancellation, Refund, and Credit Policy 

Because vendor participation is a critical part of Festive Planet’s event content and guest experience, cancellations significantly affect event planning, vendor replacement, and regulatory compliance. 

Vendor documents are generally required to be submitted to the Health Department at least thirty (30) days before the event date. To allow adequate time for administrative processing and vendor replacement, any vendor-initiated cancellation request must be submitted at least thirty (30) days before the Health Department submission deadline. Accordingly, vendor-initiated cancellation requests must be submitted more than sixty (60) days before the event date. 

If Festive Planet initiates the cancellation for reasons unrelated to vendor misconduct, noncompliance, or violation of event rules, Festive Planet will refund the vendor fee in cash. 

If a vendor initiates a cancellation or refund request for the vendor’s own reasons: 

  • if the request is submitted more than sixty (60) days before the event date, no cash refund will be issued, but the vendor fee will be converted into a credit that may be used toward a future Festive Planet event; 

  • if the request is submitted sixty (60) days or fewer before the event date, no refund, credit, or cash reimbursement will be provided. 

All cancellation requests must be submitted in writing. 

  

5. No-Show Policy 

As a food festival, Festive Planet relies on each approved vendor as a core part of the event experience and advertised event content. A vendor’s failure to appear without adequate notice disrupts event operations, negatively impacts guest experience, and may cause serious reputational harm to Festive Planet. 

If a vendor fails to appear for an event and does not provide written notice at least seven (7) days before the event date, the vendor will be deemed a no-show. 

In the event of a no-show, Festive Planet reserves the right to: 

  • automatically cancel all of the vendor’s future reservations effective immediately; 

  • apply Festive Planet’s standard cancellation, refund, and credit policy to all affected reservations; and 

  • disqualify the vendor from future participation in Festive Planet events. 

6. Event Changes & Force Majeure 

Festive Planet reserves the right to: 

  • modify event dates; 

  • modify venue locations; 

  • adjust event layout; 

  • reassign booth locations; and 

  • adjust event hours. 

In cases beyond our control, including but not limited to weather, government restrictions, public safety concerns, acts of God, labor disputes, pandemics, venue cancellations, or other force majeure events, Festive Planet may: 

  • reschedule the event; 

  • relocate the event; 

  • convert the event format; or 

  • cancel the event. 

If an event is cancelled due to force majeure, Festive Planet may, at its sole discretion: 

  • offer a credit toward a future event; or 

  • reschedule participation. 

Refunds are not guaranteed in force majeure situations.  

In addition, Festive Planet does not guarantee foot traffic, sales volume, or specific placement conditions. Vendors acknowledge that outdoor events carry inherent risks, including reduced attendance due to weather, and no compensation shall be provided for such impacts. 

7. Vendor Responsibilities and Operating Rules 

Vendors are responsible for: 

  • all required licenses and permits; 

  • health department compliance; 

  • insurance coverage, if required; 

  • fire safety compliance; 

  • electrical compliance; 

  • proper staffing; and 

  • equipment and setup. 

Failure to comply with event rules may result in removal without refund. Festive Planet reserves the right to immediately suspend, shut down, or remove any vendor at any time, with or without notice, in its sole and absolute discretion, if it determines that the vendor’s conduct, operations, or products may negatively impact the event, attendees, other vendors, or Festive Planet’s reputation. 

In addition, the following vendor operating rules apply: 

a. No Unauthorized Business Activity, Promotion, or Solicitation 
Any unauthorized business activity, promotion, or solicitation during the event is strictly prohibited. This includes, without limitation: 

  • promoting, marketing, or advertising any other festival, market, fair, or competing event; 

  • distributing flyers, signage, QR codes, coupons, or promotional materials unrelated to the vendor’s approved booth operations; and 

  • soliciting vendors, customers, or attendees for other events, businesses, or opportunities not approved by Festive Planet. 

Festive Planet reserves the right to immediately suspend or remove any vendor engaging in such conduct and to disqualify that vendor from future events. 

b. Menu and Brand Consistency 
Each vendor is selected based on the specific brand, menu, pricing, and concept submitted during registration. Vendors must operate in a manner consistent with their approved application. 

Any change to menu items, pricing, branding, or concept must be submitted to Festive Planet in advance and approved in writing before the event. Unapproved menu items, pricing, branding, or concept changes may result in immediate suspension or removal and disqualification from future events. 

c. Booth Transfer, Assignment, Sublease, or Resale Prohibited 
Vendors may not transfer, assign, sublease, or resell their booth space under any circumstances without prior written approval from Festive Planet. 

Any unauthorized transfer, sublease, assignment, or resale may result in immediate removal and disqualification from future participation. 

d. Multiple Booth / Premium Vendor Policy 
Vendors operating multiple booths must present different brands and specialties at each booth, as required by their contract and event rules. 

Each booth must be clearly differentiated in concept and offering. Multiple booths operated by the same vendor may not be placed in the same section unless expressly approved by Festive Planet. Any non-compliant booth may be removed immediately without refund or credit. 

e. Insurance Requirements 

Vendors shall maintain, at their sole cost and expense, all insurance coverages required by Festive Planet and/or the event venue, including but not limited to commercial general liability insurance. Coverage types, limits, and policy requirements shall be as determined by Festive Planet in its sole discretion and may vary by event, location, or vendor category. All required policies shall name Festive Planet Inc., its affiliates, officers, directors, employees, agents, and the event venue as additional insureds on a primary and non-contributory basis, where applicable. Vendors must provide satisfactory proof of insurance upon request and prior to the event. Failure to obtain or provide required insurance, as determined by Festive Planet, may result in immediate cancellation of participation without refund or credit. 

f. Abandonment of Property 

Any property, equipment, or materials left on-site after the event may be removed, stored, or disposed of by Festive Planet at Vendor’s sole cost and expense, without liability to Festive Planet. 

g. Utilities Disclaimer 
Festive Planet does not guarantee uninterrupted or continuous access to electricity, water, or other utilities and shall not be liable for any interruptions, failures, or limitations. 

8. Intellectual Property 

All branding, logos, maps, layouts, designs, mascots, graphics, and event materials are the intellectual property of Festive Planet Inc. 

Vendors may not: 

  • reproduce event branding without permission; 

  • use event logos for unauthorized promotion; or 

  • claim affiliation beyond approved participation. 

Event photos and videos taken by Festive Planet or its media team remain the property of Festive Planet. 

9. Marketing & Media Release 

By participating in an event, vendors grant Festive Planet the right to: 

  • photograph and film vendor booths; 

  • use images and footage for marketing purposes; and 

  • promote current and future events. 

No compensation will be provided for such use. 

10. Exclusivity and Non-Competition 

Vendor shall not, without Festive Planet’s prior written consent, directly or indirectly participate in, promote, or be affiliated with any competing food festival or similar event within a radius of [X] miles of the event location during the period beginning [X] days before and ending [X] days after the applicable event. 

Any violation of this Section shall constitute a material breach and may result in removal, cancellation without refund, and disqualification from future events. 

11. Limitation of Liability 

Festive Planet is not responsible for: 

  • lost or stolen property; 

  • damage to vendor equipment; 

  • personal injury; 

  • loss of revenue; 

  • weather-related impacts; or 

  • third-party vendor behavior. 

To the maximum extent permitted by law, Festive Planet Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, or reputational harm. In no event shall Festive Planet’s total liability exceed the total fees paid by Vendor for the applicable event. Vendor expressly acknowledges that participation is at Vendor’s sole risk. 

12. Indemnification 

Vendors agree to indemnify and hold harmless Festive Planet Inc., its directors, officers, employees, contractors, and venue partners from any claims, damages, losses, liabilities, or expenses arising from: 

  • vendor negligence; 

  • vendor misconduct; 

  • food safety violations; or 

  • legal violations. 

13. Waiver of Claims 

To the fullest extent permitted by applicable law, Vendor, on behalf of itself and its owners, members, managers, officers, directors, employees, agents, representatives, contractors, successors, and assigns (collectively, the “Vendor Parties”), hereby irrevocably waives, releases, and discharges Festive Planet Inc., its affiliates, parent companies, subsidiaries, and each of their respective officers, directors, members, managers, employees, agents, representatives, contractors, sponsors, partners, landlords, and venue operators (collectively, the “Festive Planet Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, arising out of or relating to: 

  • Vendor’s participation in or presence at any event; 

  • use of event premises or facilities; 

  • interactions with attendees, other vendors, or third parties; 

  • weather conditions, event attendance levels, or event outcomes; 

  • theft, loss, or damage to property; and 

  • any business interruption or loss of revenue. 

This waiver applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, or otherwise. Notwithstanding the foregoing, this waiver shall not apply to claims arising solely from the gross negligence or willful misconduct of Festive Planet Inc., as finally determined by a court of competent jurisdiction. 

14. No Partnership or Agency 

Nothing in these Terms shall be deemed to create any partnership, joint venture, or agency relationship between Festive Planet and Vendor. 

15. Chargebacks & Payment Disputes 

By submitting payment, vendors agree not to initiate unjustified chargebacks. 

In the event of a chargeback, Festive Planet reserves the right to: 

  • dispute the chargeback; 

  • pursue collection or other legal remedies; and 

  • ban the vendor from future events. 

16. Website Use and Data 

You agree not to: 

  • use the website for unlawful purposes; 

  • attempt to disrupt the system; 

  • misrepresent business information; or 

  • submit false or fraudulent applications. 

Festive Planet may collect, use, and share vendor information for operational, marketing, and other business purposes related to its events. 

17. Governing Law 

These Terms & Conditions are governed by the laws of the state in which the specific event takes place, unless otherwise specified. 

18. Register Line Limit

 

Each vendor booth is permitted to operate only one register/payment line per booth. Additional lines or separate payment stations are not allowed.

 

19. Promotional Activities  

 

All promotional activities must remain within 10 feet of your assigned booth space. This includes, but is not limited to, signage, flyers, product displays, brand ambassadors, and promotional materials. Vendors may not conduct promotions outside of this designated area.

 

20. Booth Location Compliance

 

Vendors must remain at their assigned booth location at all times during the event. Vendors are not permitted to move their booth, equipment, or operations to another spot or area without prior approval from the organizer.

 

Failure to remain in the assigned booth location may result in immediate removal from the event.
